Terms of Service

These Terms of Service (the “Terms”) are an agreement between you and JPE-Net Technologies(“DocuShark”, “we”, “us”) governing your use of the DocuShark websites, the hosted DocuShark Cloud service, and related apps (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
DocuShark is a document and diagramming workspace. The core editor and relay engine are open source (AGPL-3.0); DocuShark Cloud is our managed, hosted offering. The desktop app can be used fully offline and free. Cloud accounts add hosted storage, sharing, and collaboration. The Service is offered on an evolving basis and may change over time.
2. Accounts & eligibility
You sign in with a supported identity provider (e.g. Google). You must provide accurate information, keep your account secure, and be old enough to form a binding contract in your jurisdiction (and at least the age of digital consent where you live). You are responsible for activity under your account and for the people you invite to your workspace.
3. Plans, billing & cancellation
Paid plans are billed through our payment processor (Stripe) on a recurring basis until cancelled. Pricing is shown on our site and may change with reasonable notice. You can cancel at any time; cancellation takes effect at the end of the current billing period and your plan remains active until then. Except where required by law, payments are non-refundable. You are responsible for applicable taxes.
4. Your content
You retain all rights to the documents, diagrams, and files you create or upload (“Your Content”). You grant us a limited license to host, store, process, transmit, and display Your Content solely to operate and provide the Service to you and the people you share it with. You are responsible for Your Content and for having the rights to it. We do not claim ownership of Your Content.
5. Acceptable use
You agree not to use the Service to:
- break the law or infringe others’ rights;
- store or distribute malware, or attempt to disrupt, overload, or gain unauthorized access to the Service or other workspaces;
- resell or abuse the hosted Service, or circumvent usage limits, billing, or access controls.
The open-source engine is governed by its own license (AGPL-3.0); these Terms govern the hosted Service and our proprietary components.
6. Third-party services
The Service relies on third-party providers (for sign-in, hosting, storage, and payments). Your use of those features may also be subject to their terms. We are not responsible for third-party services we do not control.
7. Availability & changes
DocuShark Cloud is offered as a v1 / beta service. We may add, change, suspend, or remove features, and may perform maintenance that affects availability. We aim to give notice of material changes where practical.
8. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that data will never be lost — keep your own backups of important content.
9. Limitation of liability
To the maximum extent permitted by law, DocuShark will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the 12 months before the claim.
10. Indemnification
You agree to indemnify and hold DocuShark harmless from claims arising out of Your Content or your use of the Service in violation of these Terms or applicable law.
11. Termination
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or to protect the Service. On termination, your right to use the hosted Service ends; you may request an export of Your Content before account deletion where feasible.
12. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. Disputes will be subject to the courts located in Ontario, Canada.
13. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the date above and, where appropriate, provide additional notice. Continued use of the Service after changes take effect means you accept the updated Terms.
